Terms of Service

1. Acceptance of Terms

By accessing or using LaunchPod ("the Service"), operated by Santuri LLC ("we," "us," "our"), you ("you," "your," "Customer") agree to be bound by these Terms of Service ("Terms"). If you do not agree to all of these Terms, do not use the Service. These Terms constitute a legally binding agreement between you and Santuri LLC.

2. Description of Service

LaunchPod provides managed cloud infrastructure for hosting AI agent software, including OpenClaw. The Service provisions dedicated virtual machines ("Instances") on third-party cloud infrastructure, manages connectivity via Cloudflare tunnels, and provides SSH terminal access. Each Instance is a full virtual server over which you have significant control, including the ability to install software and execute arbitrary code.

3. Account and Registration

You must create an account to use the Service. You are responsible for maintaining the confidentiality and security of your account credentials, API keys, SSH keys, and any other authentication mechanisms associated with your account. You are solely responsible for all activities that occur under your account or on your Instance(s), whether or not authorized by you. You must immediately notify us at hello@santuri.com if you suspect unauthorized access. You must be at least 18 years old to use the Service.

4. Billing and Payment

The Service is offered on a monthly subscription basis. Prices are listed on our pricing page. All plans include a 7-day free trial. Payment is processed by Stripe. You may cancel your subscription at any time; cancellation takes effect at the end of the current billing cycle. No refunds will be issued for partial billing periods. We reserve the right to change pricing with 30 days' notice. Continued use after a price change constitutes acceptance.

5. Bring Your Own Key (BYOK)

LaunchPod does not provide AI model access. You are solely responsible for obtaining, managing, and paying for your own API keys from third-party AI providers (e.g., Anthropic, OpenAI). Your use of those services is governed by their respective terms and policies, and you agree to comply with all such terms. LaunchPod does not store, access, or proxy your AI API keys — they remain on your dedicated Instance. We are not responsible for any charges, liabilities, or consequences arising from your use of third-party AI services, including costs incurred by AI agents operating on your Instance.

6. Acceptable Use Policy

You receive a dedicated virtual server with significant access and control. You are solely and fully responsible for everything that happens on your Instance, including actions taken by any software, AI agents, bots, or automated processes running on it. You agree not to use the Service to:

This list is not exhaustive. We reserve the right to determine, in our sole discretion, whether any use of the Service violates this policy. Violation of this Acceptable Use Policy may result in immediate suspension or termination of your account and Instance(s) without prior notice and without refund.

7. Upstream Provider Compliance

The Service relies on third-party infrastructure providers, including Cloudflare. Your use of the Service must comply with the acceptable use policies and terms of service of these upstream providers. Violations of upstream provider policies that result in action against our accounts (including but not limited to suspension, fines, or termination) will be treated as violations of these Terms, and you may be held liable for any resulting damages or costs.

8. AI Agent Responsibility

You acknowledge that AI agents and automated software running on your Instance may take actions autonomously, including executing code, making network requests, accessing files, and interacting with external services. You are fully responsible for all actions taken by AI agents on your Instance, whether those actions were intended, anticipated, or not. This includes:

You agree to configure appropriate safeguards, permissions, and monitoring for any AI agents running on your Instance. LaunchPod provides infrastructure only and does not control, supervise, or monitor the behavior of software running on your Instance.

9. Data and Content

You retain ownership of all data and content stored on your Instance. LaunchPod does not routinely access, monitor, or analyze the contents of your Instance. However, we reserve the right to access, inspect, or suspend your Instance if we have reasonable grounds to believe that your use violates these Terms, our Acceptable Use Policy, applicable law, or if required to comply with legal process, law enforcement requests, or to protect the rights, safety, or property of Santuri LLC, our customers, or the public. Upon account termination, your Instance and all data on it will be permanently and irreversibly deleted. It is your sole responsibility to maintain backups of any data stored on your Instance.

10. Service Availability

LaunchPod strives to maintain high availability but does not guarantee uninterrupted, error-free, or secure service. The Service depends on third-party infrastructure providers whose availability is outside our control. We are not liable for any downtime, data loss, or service interruptions caused by third-party providers, network issues, force majeure events, or scheduled maintenance. We will make reasonable efforts to notify you of planned maintenance when possible.

11. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. We do not warrant that the Service will meet your requirements, be uninterrupted, timely, secure, or error-free, or that any defects will be corrected. You use the Service at your own risk.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, SANTURI LLC AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES, resulting from: (a) your use or inability to use the Service; (b) any actions taken by AI agents or automated software on your Instance; (c) unauthorized access to or alteration of your data; (d) any third-party conduct on or related to the Service; or (e) any other matter related to the Service. Our total aggregate liability for all claims arising from or related to these Terms or the Service shall not exceed the total amount you paid to us in the three (3) months immediately preceding the event giving rise to the claim.

13. Indemnification

You agree to indemnify, defend, and hold harmless Santuri LLC, its officers, directors, employees, agents, and affiliates from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use of the Service; (b) any content, data, or software stored on or transmitted through your Instance; (c) any actions taken by AI agents or automated processes on your Instance; (d) your violation of these Terms or any applicable law; (e) your violation of any third party's rights, including intellectual property rights; or (f) any claim that your use of the Service caused damage to a third party. This indemnification obligation survives termination of your account and these Terms.

14. Termination

By you: You may cancel your subscription and close your account at any time through the billing portal or by contacting support.

By us, for cause: We may suspend or terminate your account and Instance(s) immediately and without prior notice if we reasonably believe you have violated these Terms, the Acceptable Use Policy, or applicable law, or if your use poses a risk to the Service, other customers, or third parties.

By us, without cause: We may terminate your account for any other reason with 30 days' written notice.

Effect of termination: Upon termination, your Instance(s) will be destroyed and all data permanently deleted. No refunds will be issued for termination due to Terms violations. For termination without cause by us, we will provide a pro-rated refund for the unused portion of your billing period.

15. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of laws principles. Any dispute arising from these Terms or the Service shall first be attempted to be resolved through good-faith negotiation. If negotiation fails, disputes shall be resolved through binding arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules, with arbitration taking place in Delaware. You agree to resolve disputes on an individual basis and waive any right to participate in a class action lawsuit or class-wide arbitration.

16. Changes to Terms

We may update these Terms from time to time. We will notify you of material changes via email or through the Service at least 15 days before they take effect. Continued use of the Service after changes take effect constitutes acceptance of the updated Terms. If you do not agree to the updated Terms, you must stop using the Service and cancel your account.

17. General Provisions

Entire Agreement: These Terms, together with our Privacy Policy, constitute the entire agreement between you and Santuri LLC regarding the Service.
Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions shall remain in full force and effect.
No Waiver: Our failure to enforce any provision of these Terms shall not constitute a waiver of that provision or any other provision.
Assignment: You may not assign or transfer these Terms or your rights under them without our prior written consent. We may assign these Terms without restriction.
